What is an MSA?
A master services agreement sets the recurring legal framework for a business relationship. Individual order forms or statements of work can then specify scope, pricing, quantities, milestones or other deal-specific details without renegotiating every master term.
What should a startup negotiate in a customer MSA?
Priorities depend on the deal, but common areas include payment, acceptance, IP and license rights, confidentiality, data/security, warranties, indemnities, liability limits, insurance, publicity, exclusivity, term/termination and the order-of-precedence between documents.
MSA or SaaS agreement—which do we need?
They can overlap. A self-contained SaaS agreement may handle the whole subscription relationship. An MSA is common when the parties expect multiple order forms, SOWs or services under one master legal framework.
What happens if the MSA and order form conflict?
The contract should specify document precedence. If it does not, conflicting terms can create interpretation risk. Review the full contract stack rather than treating the MSA and order form as separate transactions.
Can we sign the customer’s standard MSA?
Possibly, but “standard” means standard for the customer, not necessarily for your company. The practical review is whether the obligations fit your product, insurance, data, IP, economics and existing contracts.
