What startup legal actually costs, at every stage

Why the ranges are so wide

The same incorporation costs $2,000 at a firm that quotes it as a project. It costs $8,000 to $20,000 when it runs hourly and terms of service, a privacy policy and founder agreements get added along the way. What protects you is not hourly versus fixed. It is whether anyone agreed what the work was before it started.

The part that surprises founders

Most of a first-year legal bill is not the work anyone quoted. It is everything in between — the questions, the quick reviews, the small approvals — billed in six-minute increments at a rate nobody re-reads.

Why we can publish a price at all

Why is a priced round so much more expensive than a SAFE round?

A priced round creates the documents that govern the company for years — an amended certificate of incorporation, a stock purchase agreement, investors' rights, right of first refusal and co-sale, and a voting agreement — and the company customarily pays the lead investor's counsel as well as its own. A SAFE is short and mostly standard, which is why it costs a fraction as much to paper.

Do I need a lawyer to incorporate a startup?

Not strictly. Incorporation is the one part of startup legal where the document set is fully determined by a handful of choices — state, share count, founder split, vesting — and there is no judgment call hiding in it. That is why Founders Form AI prices incorporation at $19 and does not put an attorney on it. Every workflow after incorporation depends on facts that only exist once the company does, and those are the ones an attorney signs.
